Terms of Service

1. Acceptance of Terms

By accessing or using QVANTUS Agent (the "Service"), operated by QVANTUS CAPITAL LLC, you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

QVANTUS Agent is an AI-powered SaaS platform that enables users to manage WordPress websites, WooCommerce stores, Google Ads, Meta Ads, and TikTok campaigns through a conversational interface. The Service includes:

• AI-assisted content creation and website management.
• Advertising campaign creation and management across multiple platforms.
• Third-party platform integrations via OAuth and API connections.
• Analytics and reporting features.

3. Account Registration

• You must provide accurate, complete, and current registration information.
• You are responsible for maintaining the confidentiality of your account credentials.
• You are responsible for all activities under your account.
• You must notify us immediately of any unauthorized use of your account.
• You must be at least 16 years old to create an account.

4. Subscriptions and Payments

• Paid features are billed on a subscription basis (monthly or annually).
• Payment is processed securely via Stripe. All prices are in EUR unless stated otherwise.
• Subscriptions renew automatically unless cancelled before the renewal date.
• Refunds are available within 14 days of initial purchase in accordance with EU consumer protection law.
• We reserve the right to change pricing with 30 days' notice.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Create, distribute, or promote misleading, fraudulent, or harmful content.
• Send spam, unsolicited advertising, or bulk messages.
• Interfere with or disrupt the Service or its infrastructure.
• Attempt to gain unauthorized access to the Service or other users' accounts.
• Use the Service in any way that violates the terms of connected platforms (Google, Meta, TikTok, WordPress).
• Scrape, data-mine, or reverse-engineer the Service.
• Upload malware, viruses, or other harmful code.

6. Third-Party Integrations

The Service connects to third-party platforms including Google Ads, Meta (Facebook/Instagram), TikTok, and WordPress. By connecting these platforms:

• You authorize QVANTUS Agent to access and manage your accounts within the scopes you approve.
• You remain bound by each platform's own terms of service and policies.
• QVANTUS Agent is not responsible for actions taken by third-party platforms, including account suspensions, policy violations, or data processing by those platforms.
• You can revoke access to any connected platform at any time through your account settings.

7. AI-Generated Content

• The Service uses AI to generate content, suggestions, and campaign configurations.
• AI-generated output is provided "as-is." You are responsible for reviewing and approving all content before publishing.
• QVANTUS Agent does not guarantee the accuracy, completeness, or suitability of AI-generated content.
• You retain ownership of content you create using the Service.

8. Intellectual Property

• The QVANTUS Agent platform, including its software, design, and branding, is owned by QVANTUS CAPITAL LLC and protected by intellectual property laws.
• You retain all rights to content you create or upload. By using the Service, you grant us a limited license to process your content solely to provide the Service.
• You may not copy, modify, distribute, or create derivative works of any part of the Service.

9. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you acknowledge that you have read and understood our Privacy Policy.

10. Service Availability and Modifications

• We strive for high availability but do not guarantee uninterrupted access.
• We may modify, suspend, or discontinue features with reasonable notice.
• Scheduled maintenance will be communicated in advance when possible.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

• QVANTUS Agent is provided "as is" and "as available" without warranties of any kind.
• We are not liable for indirect, incidental, special, or consequential damages, including loss of profits, data, or business opportunities.
• Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.
• We are not liable for actions taken by connected third-party platforms.

12. Termination

• You may terminate your account at any time through your account settings.
• We may suspend or terminate your account if you violate these Terms or engage in activities harmful to the Service or other users.
• Upon termination, your right to use the Service ceases. We will delete your data in accordance with our Privacy Policy.

13. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Estonia and the European Union. Any disputes will be resolved in the courts of Tallinn, Estonia, without prejudice to your rights as a consumer under the laws of your country of residence.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or a prominent notice on the platform at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
